Terms & Conditions

These Terms and Conditions govern your use of endlessflowcapitalgroup.com and any services purchased from Endless Flow Capital Group ("EFCG," "we," "us"), a Michigan limited liability company.

By using the site, booking a call, or purchasing a service, you accept these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

Where you sign a separate written service agreement or statement of work, that document controls if it conflicts with these terms.

EFCG builds and operates systems for small businesses, including:

• Website design, development, hosting, and maintenance
• CRM configuration and marketing automation
• AI communication agents and automated follow-up sequences
• AI-generated spokesperson video production

The specific services in your engagement are those listed in your selected package or statement of work. Anything not listed is out of scope and quoted separately.

Structure

Our packages carry a recurring monthly fee plus a one-time setup fee:

• FlowLaunch™, $299 per month, plus $500 setup
• FlowGrow™, $549 per month, plus $750 setup
• FlowElite™, $899 per month, plus $1,000 setup

When payment is due

• The setup fee is due in full before build work begins. There is no grace period, and no work is scheduled until it clears
• Monthly fees are billed in advance on the same calendar day each month, starting on the date of handoff
• All fees are stated in US dollars and are exclusive of any applicable tax

Late payment

• Overdue balances accrue a late fee of 1.5% per month on the outstanding amount
• Accounts more than 15 days overdue may have services suspended after written notice. Suspension does not pause or reduce fees
• Reinstating a suspended account may require settling the balance in full

Refunds

Setup fees are non-refundable once build work has begun, because they pay for labour already performed. Monthly fees are not refunded for partial months. If we have not started work, contact us and we will discuss it in good faith.

• Standard build time is 10 to 15 business days from kickoff, where kickoff means cleared payment plus receipt of all materials we have requested from you
• On delivery you get a 5 business-day revision window to request changes within the agreed scope. After that window, the build is accepted and further changes are billable
• Rush delivery is available subject to capacity and carries a 25% surcharge on the setup fee
• Delays caused by late materials, slow feedback, or third-party approvals extend the timeline by the length of the delay

The timeline above assumes you provide, promptly:

• Brand assets, copy, images, and any content you want used
• Access to domains, hosting, and any existing accounts we must connect to
• Timely feedback at each review point
• Accurate business information, including anything required for messaging or advertising compliance

You are responsible for having the rights to any material you give us, and for the accuracy and legality of your own business claims. You confirm you have permission to contact anyone whose details you upload to a system we build.

• Either party may cancel a monthly service with 30 days' written notice. Service continues, and fees remain due, through the notice period
• Cancellation requests must be sent to info@endlessflowcapitalgroup.com to be effective
• We may terminate immediately for non-payment, for breach of the acceptable use section below, or where continuing would expose either party to legal risk
• On termination, we will provide a reasonable export of your content and customer data. Configurations and automations built inside licensed third-party platforms may not be transferable, ask before you sign if this matters to you

• Yours: your brand, your content, your customer data, and the final deliverables produced specifically for you, once paid in full
• Ours: our underlying frameworks, templates, code libraries, processes, and know-how, including anything we developed before or independently of your project
• You receive a non-exclusive, perpetual licence to use our underlying components as embedded in your deliverables. You may not extract, resell, or redistribute them separately
• We may reference your business name and show your project in our portfolio unless you tell us in writing that you would rather we did not

Our systems integrate services we do not own: hosting, messaging carriers, payment processors, calendar and CRM platforms, and AI model providers. Your use of those services is also subject to their terms.

We are not responsible for outages, pricing changes, policy changes, or discontinuation by a third-party provider. Where a provider changes something that materially affects your service, we will tell you and propose the best alternative available.

You agree not to use systems we build to:

• Send messages to anyone who has not consented, or continue messaging anyone who has opted out
• Send unlawful, deceptive, harassing, or misleading content
• Violate telecommunications regulations, including A2P messaging rules and applicable consumer protection law
• Infringe anyone's intellectual property or privacy rights

Messaging compliance is a shared responsibility. We build the system to support it; you are responsible for the consent behind the contacts you load and the content you choose to send.

We warrant that we will perform services with reasonable skill and care, in line with professional standards.

Beyond that, services are provided "as is". We do not warrant that the site will be uninterrupted or error-free, that AI output will be accurate in every case, or that any particular business result will follow. We do not guarantee specific revenue, lead volume, conversion rates, or search rankings. Any figures quoted in marketing materials are illustrative industry benchmarks, not promises about your business.

To the fullest extent the law permits, EFCG is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, however caused.

Our total aggregate liability arising out of or relating to the services is limited to the amount you paid us in the three monthspreceding the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

You agree to indemnify and hold harmless EFCG, its members, and its contractors from claims, damages, and reasonable legal costs arising out of content you supply, your use of the services, your breach of these terms, or your violation of any law or third-party right, including messaging and privacy regulations relating to contacts you provide.

These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law rules.

Before starting formal proceedings, both parties agree to attempt to resolve any dispute in good faith by direct discussion for at least 30 days. If that fails, the courts located in Michigan have exclusive jurisdiction, and both parties consent to venue there.

We may update these terms as our services change. The "last updated" date reflects the current version. Material changes affecting active clients will be communicated by email at least 30 days before they take effect. Continued use after that date constitutes acceptance.

You can cancel the SMS service at any time. Just text "STOP" to the phone number that sent you the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive varying message frequency based on your activity and project stage. If you have any questions about your text plan or data plan, it is best to contact your mobile carrier.
